phone companies must be regulated

That's a mite foggy. AT&T (aka Ma Bell) was broken up in anti-trust action (one time), which is not the same as regulation (all the time).

However, if phone companies were classified as militias ('cause they must spy on everyone via NSA) they would be Constitutional (https://duckduckgo.com/?q=militias+Constitutional&t=h_&ia=web).
