What prevents companies from just not having diversity and inclusion departments and officers?

Many companies are top down woke or top down woke subordinate, so the D&I officers are just the enforcers acting on behalf of leadership that is either ideologically woke or allies of the woke mob for a plethora of reasons.

The rest are scared to death of title VII violations and the media. If you dont have a D&I program to point too, you would easily get smoked in court if a nigger ever cries descrimination. This isn't like a murder trial where the burden of proof is on the state. If a nigger cries descrimination or hostile work environment, the burden of proof is on you, the employer, to prove that you have programs in place to prevent racism. D&I is just basic modern day title VII compliance.

The media can also coerce you by creating a scandal that will result in organized cutt off from suppliers and corporate customers. Want your products on the shelf at walmart? Good luck with that after the ABC special on racism at your company. You need a black female D&I officer to do the interview and defend your company on TV.

Remember, the absolute worst thing that can happen to you or your company is to be labeled racist. As a company, D&I is your defense against this.
